JOB PURPOSE & DIMENSION:
KEY PERFORMANCE AREAS:
KNOWLEDGE, EXPERIENCE, SKILLS & COMPETENCIES:
To assist the Group Company Secretary in ensuring that the company is compliant with its regulatory and legal requirements as well as internal policies by working together with relevant stakeholders to identify and manage regulatory risks as well as supporting business units’ contractual requirements.
KEY PERFORMANCE AREAS:
Governance:
- Provide assistant company secretarial duties while providing overall administrative support to the Group Company Secretary with the administration, regulatory compliance, meeting management, corporate governance, and related services to the Group.
- Assist with drafting and/or reviewing ordinary and special resolutions, minutes and maintaining a resolution register.
- Assist with the preparation for the board and committee meetings including collating and binding documents for the meeting packs from the relevant role players.
- Assist with Annual Return filings and other CIPC related matters.
Legal:
- Assist with the design and implementation of systems and controls to ensure compliance with all relevant legislation and regulations impacting the Group.
- Maintain group-wide compliance, regulatory protocols and policies including reviewing all critical business policies from a regulatory compliance perspective and making recommendations for improvement.
- Assist with the implementation, compliance, and monitoring of relevant legislation.
- Regulatory follow up on issues identified and raised to ensure resolution of corrective actions.
- Communicate effectively and efficiently with relevant internal parties and departments to support a seamless integration of compliance management by encouraging and facilitating cooperation.
- Draft and review contracts in line with applicable company requirements and legislation.
- Conduct research, prepare compliance reports and maintain awareness of any laws and regulations relevant to the Group.
- Assist with the implementation, compliance, and monitoring of the Protection of Personal Information Act, Competition Act and Consumer Protection Act.
KNOWLEDGE, EXPERIENCE, SKILLS & COMPETENCIES:
- Bachelor of Laws(LLB), Admitted Legal Practitioner(essential).
- Postgraduate qualification in Compliance (advantageous)
- 2-3 years post-admission experience in assisting a company secretarial and compliance role (Essential).
- Corporate legal advisory experience (Advantageous)
- Strong analytical and legal drafting skills
- Proactive and good interpersonal skills
- Excellent planning and organisational skills

- Able to work independently and self-motivated
